Twitter Shareholders OK Elon Musk’s $44 Billion Acquisition — Which the Mega-Billionaire Wants to Walk Away From

Todd Spangler NY Digital Editor Twitter shareholders want Elon Musk to keep his word and buy out the social network for $44 billion. But the tech multibillionaire is doing everything he can to try to nix the deal. On Tuesday, at a special meeting of Twitter shareholders, the company’s investors voted in favor of approving Musk’s takeover, which was announced in April. But the vote was a minor formality to the main issue: that Musk doesn’t want to buy Twitter anymore. Musk is heading toward a court trial to fight Twitter’s demand that he close the deal at the $54.20/share price that was previously agreed on.

‘The Crown’ Viewing on Netflix Surges After Queen Elizabeth II’s Death

Todd Spangler NY Digital Editor Not surprisingly, the death of Queen Elizabeth II on Sept. 8 — ending a historic 70-year reign — spurred renewed interest in “The Crown,” the popular Netflix series that follows the monarch’s life and events during her time on the throne over multiple decades. “The Crown,” which begins in the late 1940s prior to Elizabeth’s becoming the Queen of England, will end with Season 6, taking the show into the early 2000s. Between Friday and Sunday (Sept. 9-11), the show’s viewership in the U.K. increased more than 800% compared with the previous Friday-Sunday period, according to data analytics firm Whip Media. In the U.S., viewership of “The Crown” more than quadrupled from Friday-Sunday compared with the previous week, and in France viewing jumped threefold, per Whip Media.

Mystery Solved! ‘Glass Onion’ Kills at TIFF and Should Be Netflix’s Leading Best Picture Pony

Clayton Davis “Glass Onion: A Knives Out” from writer and director Rian Johnson is another uproarious take on the whodunit series that outdoes its predecessor in nearly every way. Turning in killer performances, Janelle Monae and Edward Norton lead an invigorating ensemble that makes this awards observer hope Netflix will put every available dollar behind making this its leading awards contender for 2022.  Daniel Craig reprises the role of Benoit Blanc, throwing himself into the funniest performance seen this year. It’s impossible to explain what the film is about without spoiling it, so we won’t do that. What we will do is tell you that the award for SAG ensemble is going to be a cutthroat race with “Glass Onion” in the mix alongside “Women Talking” and “Everything Everywhere All at Once.”

‘Batgirl’ Cancellation Controversy ‘Blown Out of Proportion,’ Warner Bros. Discovery CFO Says

Todd Spangler NY Digital Editor The blowback Warner Bros. Discovery received over its cancellation of “Batgirl” was “blown out of proportion,” according to CFO Gunnar Wiedenfels. Last month came word that “Batgirl,” the $90 million Warner Bros./DC movie starring Leslie Grace as Barbara Gordon/Batgirl, would not be released theatrically, on HBO Max, or anywhere else. WBD, formed formed earlier this year by Discovery’s acquisition of WarnerMedia, determined that taking a tax write-off for “Batgirl” made more financial sense than releasing it commercially. “To me, you know, it’s blown out of proportion a little bit, in terms of the attention externally,” said Wiedenfels, speaking Thursday at the Bank of America Securities Media, Communications & Entertainment Conference, regarding the “Batgirl” decision. “The focus is, on a go-forward basis here, we’re spending more than ever in the history of the two legacy companies on content. We’re continuing to make significant investments — [but] we’ll make them differently.”

Twitter to Launch Test of Edit Button, Reveals New Details of Long-Awaited Feature

Todd Spangler NY Digital Editor Twitter is finally about to give the world a look at its “Edit Tweet” function — which for years has been the No. 1 most-requested feature by users. The company said Edit Tweet is currently being tested by internal teams. Starting later in September, the test will expand initially to subscribers of Twitter Blue, its service with enhanced features for power users that costs $4.99/month in the U.S. In the test, users will be allowed to edit tweets a few times within a 30-minute window after they’re posted. Edited tweets will appear with an icon, label and timestamp so “it’s clear to readers that the original Tweet has been modified,” the company said in a blog post. Tapping the label will take viewers to the tweet’s Edit History, showing past versions of the post.

Elon Musk’s Lawyers Say Twitter Whistle-Blower Allegations Provide Additional Justification for Nixing $44 Billion Deal

Todd Spangler NY Digital Editor Nearly two months ago, Elon Musk told Twitter he wanted to bail on his deal to buy the social network, based largely on his assertion that Twitter wasn’t disclosing the true scope of its spam and bot problem. Now Musk’s lawyers have cited allegations made by a former Twitter exec, whom the company fired this year, as providing “additional and distinct bases” to terminate the tech mogul’s agreement to buy Twitter for $44 billion. “Although the Musk Parties believe this termination notice is not legally necessary to terminate the Merger Agreement because they have already validly terminated it pursuant to the July 8 Termination Notice, the Musk Parties are delivering this additional termination notice in the event that the July 8 Termination Notice is determined to be invalid for any reason,” an Aug. 29 letter from Musk’s lawyers to Twitter chief legal officer Vijaya Gadde said. The letter was disclosed in an SEC filing.
